These Terms & Conditions ("Terms") apply to every visit to and every use of the website vrp-coffee.com (the "Website"), which is operated by Virtus Resources Partners AG ("VRP", "we", "us"). By accessing or using the Website you accept these Terms. If you do not accept them, please do not use the Website.

We may update these Terms at any time. The version published on the Website at the time of your visit is the version that applies.

2. Purpose of the Website

The Website is for general information about VRP's coffee division, its activities in specialty green coffee sourcing and trading, and for contact with existing and prospective counterparties. The information on the Website is non-binding and does not constitute an offer within the meaning of Art. 3 et seq. of the Swiss Code of Obligations ("CO"). No contract for the sale or purchase of coffee is concluded through the Website; any commercial transaction is subject to a separate written agreement.

10. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from or in connection with them are governed exclusively by Swiss substantive law, to the exclusion of its conflict-of-laws rules and of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The ordinary courts at the registered seat of Virtus Resources Partners AG in Switzerland have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory forum available to consumers under Swiss law.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the economic intent of the original.
